Terms & Conditions
These terms provide a general contractual framework for use of the website and web development engagements while preserving the role of project-specific proposals, invoices and statements of work.
1. General agreement
These Terms & Conditions govern use of the Demeric Forge website and describe general conditions that may apply to web development services. A proposal, statement of work, invoice, project brief or other written agreement may contain additional or different terms for a specific engagement. Project-specific written terms control to the extent they directly conflict with these general website terms.
2. Services
Demeric Forge provides professional web development services that may include landing pages, small business websites, custom business websites, e-commerce store development, website redesign, mobile responsiveness optimization, website speed optimization, maintenance and technical support. Exact deliverables, platform, schedule and price are determined by the agreed project scope.
3. Starting prices and estimates
Prices displayed on the website are starting prices and are not universal fixed quotations. Final pricing can vary based on page count, content volume, custom functionality, e-commerce complexity, migration requirements, third-party integrations, revisions, technical debt, delivery timing and other project-specific requirements.
4. Client responsibilities
Clients are responsible for providing accurate project information, required content, approvals, access credentials, platform permissions and feedback within a reasonable time. Clients are also responsible for confirming that they have the right to use text, images, trademarks, software, data and other materials they provide for publication or implementation.
5. Project scope and change requests
The agreed scope defines the work included in a project. Requests that materially change page count, functionality, platform requirements, integrations, design direction or approved content may require a revised estimate, additional fee or new delivery schedule.
6. Revisions and approvals
Revision allowances, review periods and approval procedures may be stated in the applicable project document. Client approval of a stage may be relied upon for subsequent work. Reopening previously approved work can affect cost and schedule.
7. Third-party services
Projects may rely on hosting providers, domain registrars, Shopify or other e-commerce platforms, payment processors, plugins, applications, themes, APIs, content management systems, analytics tools, fonts, stock assets or other third-party services. Their availability, licensing, pricing, policies, security and future changes are controlled by the relevant provider, not Demeric Forge.
8. Intellectual property and licensing
Ownership and permitted use of custom deliverables should be determined by the applicable project agreement and payment status. Third-party software, themes, fonts, stock assets, libraries and applications remain subject to their own licenses. Clients retain responsibility for materials they provide.
9. Content and legal review
Clients are responsible for reviewing and approving business descriptions, prices, product claims, refund language, privacy notices, accessibility statements and other public content before launch. Demeric Forge implements website content but does not provide legal, tax, accounting or regulatory advice.
10. Prohibited requests and use
Services may not be used to request unlawful access, credential theft, malicious code, deceptive impersonation, infringement, unlawful surveillance, fraudulent transactions or other activity that violates applicable law or third-party rights. Demeric Forge may decline or discontinue work that creates a material security, legal or operational concern.
11. Timelines and dependencies
Estimated delivery dates can depend on timely content, access, approvals, vendor availability and technical conditions. Missing client materials, third-party outages, platform review processes or materially changed requirements may extend the schedule.
12. No guaranteed business outcome
Web development can improve structure, usability and technical presentation, but no specific revenue, lead volume, conversion rate, search position, traffic level or commercial outcome is guaranteed unless an explicit written guarantee is separately provided.
13. Suspension and termination
Work may be paused for overdue payments, missing required access, material project inactivity, security concerns or repeated requests outside the agreed scope. Termination and any remaining payment or delivery obligations are governed by the applicable project documents and the Cancellation & Refund Policy.
14. Governing law
Unless a project agreement states otherwise, these website terms are intended to be interpreted under applicable law in the Commonwealth of Kentucky. Nothing in these terms is intended to waive rights that cannot lawfully be waived.
